The shares are being offered by Providence VII US Holdings LP and other existing stockholders of the software platform provider.
Underwriters will have a 30-day option to buy up to an additional 1.2 million common shares from Providence and another selling stockholder, according to a statement.
DoubleVerify will not receive any proceeds from the sale of the shares in the offering, which is set to close on Nov. 22.
