In October, the company agreed to sell all the assets of its Customer Acquisition and Network Services division and its CVML and Loyalty business to PartnerOne for a base price of $40 million.
No superior proposal was received during the go-shop period, the supplier of technology solutions to communications service providers said in a statement.
The deal is expected to close in 2021, subject to shareholder approval and other customary closing conditions.
Evolving Systems shares were 2.1% lower in morning trading.
